ALEXANDROV&PARTNERS lawyers advised one of the most innovative agricultural holdings in Ukraine, the land bank of which amounts to about 50 000 hectares, on the restructuring of the holding.  Within the framework of the advice, the Client was provided with information on the main blocks of work to be performed during the restructuring process as well as the estimated time and cost of project implementation.

In order to obtain as much information as possible about the feasibility of the restructuring, the Client’s attention was drawn to the need of analysing corporate relations, corporate governance systems, assets, relations between companies within the group, existing liabilities (including bank loans, loans, etc.), possible obligations that may arise out of litigation, encumbrances and restrictions on property and proprietary rights (mortgages, pledges, attachments), contractual obligations, employment contracts aspects and relations with persons who will be dismissed as the result of the restructuring.
